These Terms and Conditions (“Agreement”) are entered into by and between BrainyZat Digital Limited in Bangladesh (“BrainyZat Digital BD”) and BrainyZat Digital UK Limited (“BrainyZat Digital UK”), collectively referred to as “BrainyZat Digital,” and the user (“Client” or “you”). This Agreement governs the use of digital marketing services provided by BrainyZat Digital through its website.

1. Services Provided

BrainyZat Digital offers a range of digital marketing services, including but not limited to social media marketing, media buying, PPC ads, online ads, and other related services. The specific services provided will be detailed in separate service agreements or proposals.

2. Client Responsibilities

As a Client, you agree to provide accurate and up-to-date information necessary for the provision of digital marketing services. You are responsible for any content and materials provided to BrainyZat Digital, ensuring they comply with applicable laws and do not infringe on the rights of third parties.

3. Payment Terms

Payment for services will be outlined in the respective service agreements or invoices provided by BrainyZat Digital. Failure to make timely payments may result in the suspension or termination of services.

4. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information shared during the course of the engagement. This includes, but is not limited to, business strategies, trade secrets, and client information.

5. Intellectual Property

Any intellectual property developed during the provision of services, including but not limited to graphics, content, and marketing materials, shall be the property of BrainyZat Digital unless otherwise agreed upon in writing.

6. Termination

Either party may terminate the engagement with written notice if the other party breaches any material term of this Agreement. Termination does not relieve the Client of the obligation to pay for services rendered.

7. Limitation of Liability

BrainyZat Digital shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with the use of its services.

8. Governing Law

This Agreement is governed by the laws of the United Kingdom for BrainyZat Digital UK and the laws of Bangladesh for BrainyZat Digital BD.

By using BrainyZat Digital’s services, you agree to comply with these Terms and Conditions. BrainyZat Digital reserves the right to update or modify these terms at any time. It is your responsibility to review them periodically.
